Mutual Non-Disclosure and Confidentiality Agreement
Effective date: [Date]
Parties: Plateau Products, doing business as Plateau Digital Assets ("Plateau"), and [Counterparty legal name] ("Counterparty").
1. Purpose
The parties intend to hold confidential discussions concerning the potential purchase, sale, assignment or valuation of one or more internet domain names (the "Permitted Purpose").
2. Confidential Information
"Confidential Information" means any non-public information disclosed by one party to the other in connection with the Permitted Purpose, in any form, including domain portfolio holdings, offers and counter-offers, the identity of beneficial owners and of the parties themselves, transfer methods, escrow arrangements and pricing.
3. Obligations
Each party shall hold the other's Confidential Information in confidence, use it only for the Permitted Purpose, and protect it with at least the care it applies to its own confidential information and in no case less than reasonable care. Confidential Information may be disclosed only to the receiving party's officers, employees, legal, tax and escrow advisers who need to know it and who are bound by obligations no less protective than these.
4. Exclusions
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to the receiving party, is independently developed without use of the Confidential Information, or is required to be disclosed by law or court order, provided the receiving party gives prompt notice where lawful.
5. Term
This Agreement governs disclosures made for two (2) years from the Effective Date. The obligations of confidentiality survive for a further two (2) years after that period ends.
6. Governing law
This Agreement is governed by the laws of the State of Texas without regard to its conflict-of-laws rules. The state and federal courts sitting in Travis County, Texas have exclusive jurisdiction over any dispute arising under it.

Domain Name Purchase and Sale Agreement
Seller: Plateau Products, doing business as Plateau Digital Assets ("Seller").
Buyer: [Buyer legal name] ("Buyer").
Domain: [domain.com] (the "Domain"). Price: USD [amount] (the "Purchase Price"). Escrow agent: Escrow.com.
1. Sale
Subject to this Agreement and to the Escrow Agent's confirmation of cleared funds, Seller sells, assigns and transfers to Buyer all of Seller's right, title and interest in the Domain, and Buyer purchases the Domain from Seller for the Purchase Price.
2. Seller's warranties
- Seller is the registrant of the Domain and has full authority to transfer it.
- The Domain is transferred free of liens, security interests, pending disputes, court orders and registrar or registry holds, other than any ICANN transfer lock disclosed in writing to Buyer.
- Seller has not received notice of any claim that the Domain infringes a third party's rights.
3. Escrow and transfer
Buyer shall deposit the Purchase Price with the Escrow Agent within [five] business days of signing. On the Escrow Agent's confirmation of cleared funds, Seller shall within [two] business days unlock the Domain and deliver the authorisation code through the Escrow Agent's platform, or push the Domain into Buyer's account at the same registrar.
4. Inspection and release
Buyer shall have [three] business days from delivery to confirm administrative control of the Domain. On Buyer's confirmation, or on expiry of the inspection period without written notice of a transfer failure, the Escrow Agent is irrevocably instructed to release the Purchase Price to Seller.
5. Fees
The Escrow Agent's fee is [split equally between the parties / borne by Buyer / borne by Seller]. Each party bears its own legal and registrar costs.
6. Confidentiality
Neither party shall disclose the Purchase Price or the terms of this Agreement except to its advisers, the Escrow Agent, or as required by law.
7. Governing law
This Agreement is governed by the laws of the State of Texas. The courts sitting in Travis County, Texas have exclusive jurisdiction.

Transfer Verification Procedure
The checklist Plateau follows on every settlement. Buyers are welcome to hold us to it.
1. Before unlocking
- Export and archive the Domain's current DNS zone, so routing can be reproduced if the buyer needs it.
- Confirm the Domain's transfer-lock status at the registry. Disclose any ICANN 60-day lock to the buyer in writing.
- Disable WHOIS privacy temporarily if the receiving registrar requires it for the transfer.
2. Funding confirmation
- Confirm in the Escrow Agent's console, not by email, that funds have cleared. No authorisation code is released before that confirmation.
3. Handover
- Same registrar: verify the buyer's account identifier and push the Domain directly.
- Different registrar: unlock the Domain and enter the authorisation code into the Escrow Agent's platform for the buyer to retrieve.
4. Buyer confirmation
- Buyer confirms the Domain appears in their account, with their organisation as registrant and their nameservers active.
- Buyer marks the transaction accepted in the Escrow Agent's console. Funds are released to Plateau only on that action.
Domain Perimeter Review: Scope
What a Plateau brand and email defence review covers, so you know what you are commissioning.
1. Names in scope
The exact-match .com of each trading name; hyphenated and concatenated variants; common single-character typos and transpositions; and the country-code domains of every market where the company trades or recruits.
2. For each name
- Registration status, registrar, creation date, and whether the registrant is behind a privacy service.
- Whether the name has live MX records, and therefore receives mail.
- Whether the name resolves to a website, and if so what kind: parked, competitor, phishing, or dormant.
3. Findings
A ranked list of the names that carry real risk, with the reasoning; an estimate of what each would cost to acquire; and a recommendation for the names you already hold, covering catch-all handling and clean rejection of misdirected mail.
4. What the review does not do
It does not attempt to access any third party's systems, intercept any mail, or contact any registrant. It is a review of public records and DNS.
